Densu Platform Payment Terms and Conditions
Effective Date: 10 October 2026 | Version: 3.0
1. Service Description
Densu ("Platform") provides a cloud-based point-of-sale and business management system that enables merchants ("Businesses" or "Subscribers") to process customer payments through our integrated payment infrastructure.
As a merchant aggregator, Densu processes payments on behalf of Businesses. When a Business accepts a payment from its customer through Densu, the Business authorizes Densu to:
- Submit the payment transaction to our payment processor
- Collect the payment on the Business's behalf
- Deduct applicable platform fees and subscribed add-ons
- Remit net proceeds to the Business's designated bank account
Densu acts as a service provider and technology intermediary, not as a financial institution or money lender. We do not hold customer funds; all payments flow through licensed payment processors regulated by the Bank of Ghana.
2. Third-Party Payment Processing
All payment processing is conducted by our payment processor. Our payment processor is licensed and regulated by the financial regulator in each country where it operates. Densu integrates with our payment processor's payment gateway and settlement infrastructure.
Your Agreement with Our Payment Processor: By using Densu to process payments, you also agree to our payment processor's Terms of Service, Privacy Policy, and Acceptable Use Policy. Our payment processor is named, with links to its terms and fees, in the Fee Schedule at densu.shop/fees. Densu is not responsible for our payment processor's service availability, transaction processing speed, or regulatory compliance.
Payment Processor Liability: Densu disclaims liability for:
- Our payment processor's failure to process, delay, or rejection of any transaction
- Our payment processor's suspension or deactivation of merchant accounts
- Compliance violations or regulatory actions taken by our payment processor
- Loss of funds due to our payment processor's system failures (though such losses are covered by our payment processor's own liability terms)
Densu maintains a direct support relationship with our payment processor on your behalf and will escalate critical issues for resolution.
3. Fee Structure & Billing
Platform Subscription Fees: Charged monthly based on your selected plan (such as Solo, Starter, Growth or Enterprise, or a custom plan). Fees are invoiced dynamically based on:
- Your plan's base price
- Active feature add-ons
- Extra staff seats you have bought
- Overage charges for sales above your plan's allowance, as set out in the Densu Terms of Use (Section 5.9)
Densu Platform Fee on Payments: On each card or mobile money payment collected through Densu's payment service, Densu takes a platform fee:
- Densu's fee on each payment, and the higher fee that applies for the rest of a billing period once you are over a sales allowance (see Section 5.9 of the Terms of Use), are set out in the Fee Schedule at densu.shop/fees. The difference between the two fees is always borne by you and is never added to the amount your customer pays.
- A rate agreed with you individually in writing applies instead of these standard rates.
- The rates that currently apply to your account are shown on your Billing page.
- Changes to Densu's fees follow Section 5.7 of the Terms of Use: at least 30 days' email notice before any increase.
Payment Processing Fee: Our payment processor also charges its own processing fee on each payment. Its current fees are linked from the Fee Schedule. Depending on the setting you choose, this fee is either deducted from your proceeds or added to the amount your customer pays.
Settlement Fees: None. Our payment processor settles all net funds directly to your registered business bank account.
Invoice Generation: Detailed invoices are generated automatically at the end of each billing cycle (monthly), showing:
- Subscription charges
- All transactions processed
- Platform fees deducted
- Net amount due or credit balance
Invoices are accessible in your Densu Dashboard. Late payments may result in service suspension or account closure.
4. Payment Settlement & Timing
Settlement Schedule:
- Our payment processor settles funds to your registered bank account on a T+1 basis (transaction day + 1 business day) for most payment methods
- ACH/bank transfers may settle on T+2 or T+3
- Settlement occurs only if your account has a positive balance after platform deductions
Timing of Fee Deduction: Densu platform fees and subscription charges are deducted from your transaction proceeds at the time of payment capture. You will see net amounts in your Densu Dashboard in real-time.
Minimum Settlement Thresholds: There is no minimum balance requirement. All balances, including small amounts (< GH₵1), are settled in the next cycle.
Holidays & Delays: Settlement may be delayed during Ghanaian public holidays or our payment processor's system maintenance. Densu will notify you of any expected delays in your dashboard.
5. Refunds & Dispute Handling
Customer Refunds: You retain full discretion to refund your customers. To refund a transaction:
- Initiate the refund through your Densu Dashboard (refund function)
- Densu submits the refund request to our payment processor
- Our payment processor processes the refund and credits the customer's original payment method (typically T+1 to T+3)
- Platform fees on the refunded transaction are reversed on your next invoice
Disputed Transactions (Chargebacks): If a customer disputes a charge through their bank or payment provider:
- Our payment processor notifies Densu, which alerts you in the Dashboard
- You have 3–5 business days to provide evidence (transaction records, customer authorization, delivery proof)
- Our payment processor arbitrates the dispute; the outcome is binding
- If a chargeback is upheld against you, the disputed amount is deducted from your next settlement
- You remain responsible for any chargeback fee our payment processor charges
Densu's Role: Densu does not adjudicate disputes. We provide the technical infrastructure for you to respond to disputes through our payment processor. We strongly recommend maintaining transaction records (receipts, customer authorization) for at least 90 days.
6. Data Protection & Security
Your Data: Each Business operates in an isolated, multi-tenant environment. Your transaction data, customer records, and business configuration are cryptographically isolated and inaccessible to other Businesses or users.
Security Practices:
- All data transmitted between your device and Densu servers is encrypted in transit (TLS 1.3)
- Sensitive data (bank account details, keys for our payment processor) is encrypted at rest using AES-256
- Payment card data is never stored by Densu; it is tokenized by our payment processor and referenced by token only
- Densu undergoes annual third-party security audits
- We maintain SOC 2 Type II compliance
Your Responsibilities:
- You are responsible for maintaining the confidentiality of your login credentials
- You must enable two-factor authentication (2FA) on your account
- You must immediately report any suspected unauthorized access or data breach
- You agree to comply with Ghana's Data Protection Act (GDP Act, 2012) when collecting and processing customer payment data
Data Retention: Transaction records are retained for 7 years (per Bank of Ghana requirements) and are accessible to you at any time through your Dashboard.
7. Business Obligations & Responsibilities
By using Densu, you commit to:
- Legal Compliance: You will only process legitimate payments for lawful goods and services provided in Ghana

Excluded Damages: In no event shall Densu be liable for:
- Lost profits, revenue, or business opportunities
- Indirect, incidental, consequential, or punitive damages

- Death or personal injury
- Breaches of data protection obligations
- Fraud or criminal conduct
Payment Processor Liability: You acknowledge that our payment processor's liability is governed by its separate terms, and Densu assumes no liability for our payment processor's performance or failures.
9. Term & Termination
Term: Your subscription continues month-to-month until terminated by either party.
Termination by You: You may cancel your subscription at any time by providing 7 days' written notice to support@densu.shop. Your access will be revoked at the end of the notice period. All pending transactions will settle normally.
Termination by Densu: Densu may suspend or terminate your account immediately if you:
- Violate these Terms
- Engage in fraudulent activity or payment processing abuse
- Fail to pay invoices for 30 days
- Are subject to regulatory or legal action affecting payment processing

Data & Settlement Upon Termination:
- Your transaction history and reports remain accessible for 12 months post-termination (read-only)
- Final settlement of all outstanding balances occurs in your next scheduled cycle
- You are responsible for retaining your own copies of transaction records after termination
10. Governing Law & Dispute Resolution
Governing Law: These Terms are governed by the substantive laws of the Republic of Ghana, without regard to conflict-of-law principles. You expressly consent to the exclusive jurisdiction of the courts of Ghana.
Dispute Resolution: Prior to litigation:
- Good Faith Negotiation: Either party must attempt to resolve disputes through good faith negotiation for 14 days
- Escalation: If unresolved, matters will be escalated to senior management for 14 additional days
- Mediation: Unresolved disputes may be referred to informal mediation through a mutually agreed mediator in Accra
Litigation: If mediation fails, disputes shall be litigated exclusively in the High Court of Justice, Republic of Ghana. You waive any objection to venue or inconvenient forum.
Severability: If any provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining Terms shall remain in full force.
