The agreement between you and Densu when you use the platform.
Effective 10 October 2026
Densu Terms of Use
Effective Date: 10 October 2026 | Version: 4.0 | Governing Law: Republic of Ghana
1. Introduction and Acceptance of Terms
Densu ("we", "us", "our") operates a cloud-based point-of-sale and business management platform accessible at densu.shop and related subdomains (the "Platform"). These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Densu governing your access to and use of the Platform.
By creating an account, clicking "I Agree", or otherwise accessing or using the Platform, you confirm that:
- You have read, understood, and agree to be bound by these Terms.
- You are at least 18 years of age.
- You have the legal authority to enter into this agreement on behalf of yourself or the business entity you represent.
- You are not prohibited from using the Platform under any applicable law.
If you do not agree with any provision of these Terms, you must not access or use the Platform.
2. Definitions
- "Account" means your registered user profile and associated credentials on the Platform.
- "Business" means the commercial entity registered and operated through the Platform.
- "Business Data" means all records, transactions, customer information, and configurations you create or import in the Platform.
- "Platform" means the Densu software-as-a-service application, APIs, mobile interfaces, and associated services.
- "Services" means the features, tools, and functionality provided through the Platform under your subscription.
- "Subscription" means the recurring paid plan you select, including any active add-ons.
- "User Content" means text, data, images, or other content uploaded to or created within the Platform by you.
3. Eligibility and Account Registration
3.1 Eligibility. The Platform is available only to:
- Individuals who are at least 18 years of age.
- Businesses lawfully registered and operating in the Republic of Ghana or such other jurisdictions as Densu may permit from time to time.
- Users who are not subject to any sanctions or restrictions that would prohibit them from using a payment-enabled SaaS platform.
3.2 Registration. You must provide accurate, complete, and current information during registration, including your legal name or business name, email address, phone number, and business details. You agree to promptly update your information if it changes.
3.3 Account Security. You are solely responsible for maintaining the confidentiality of your login credentials. You must:
- Use a strong, unique password for your Densu account.
- Enable two-factor authentication (2FA) where available.
- Immediately notify us at support@densu.shop if you suspect unauthorized access.
You are liable for all activity that occurs under your account credentials, except where you can demonstrate that an unauthorized third party gained access without your negligence.
3.4 One Account Per Business. Each Business entity may register one primary account. Additional staff accounts may be created within your Subscription's seat limits. Creating multiple accounts to circumvent subscription limits is a material breach of these Terms.
4. Description of Services
Densu provides a multi-tenant SaaS platform enabling service businesses to:
- Record, manage, and process customer transactions and payments.
- Manage staff accounts with role-based access controls.
- Issue digital receipts and pre-order confirmations.
- Track credit sales and outstanding customer balances.
- Access business analytics and reporting dashboards.
- Send SMS notifications and marketing messages (where subscribed).
- Integrate with third-party payment processors.
Service-specific terms (e.g., payment processing) are governed by supplementary terms (such as the Platform Payment Terms) which are incorporated by reference and take precedence over these Terms in the event of a conflict on the subject matter they address.
5. Subscription, Fees, and Billing
5.1 Subscription Tiers. Access to paid features requires an active Subscription. Features, limits, and pricing vary by tier. You may review current pricing at densu.shop/pricing.
5.2 Billing Cycle. Subscriptions are billed monthly in advance. Fees are calculated based on your active tier, enabled add-ons, and applicable usage overages.
5.3 Automatic Renewal. Your Subscription automatically renews each month unless you cancel at least 7 days before your next billing date.
5.4 Payment. All fees are charged in Ghana Cedis (GH₵) unless otherwise stated. You authorize Densu to charge your designated payment method for all applicable fees.
5.5 Late Payment. Invoices unpaid for more than 14 days may result in suspension of paid features. Invoices unpaid for more than 30 days may result in account termination. Outstanding balances accrue interest at 2% per month.
5.6 No Refunds. All fees are non-refundable except where required by applicable Ghanaian consumer protection law. Partial-month cancellations are not prorated.
5.7 Fee Changes. Densu's fees are set out in the Fee Schedule at densu.shop/fees, which forms part of these Terms. Densu may change subscription pricing, plan allowances and the fees in the Fee Schedule. We will email you at least 30 days before any change that increases what you pay or reduces your plan allowances takes effect, and the Fee Schedule shows every announced change to the standard fees and the date it starts. If you join after a change has been announced, the Fee Schedule shows it and the date it starts. A change that only lowers what you pay may take effect immediately. Changes to the Fee Schedule are made under this Section 5.7, not Section 17.2. Continued use after the date a change takes effect constitutes acceptance. A rate agreed with you individually in writing applies instead of the standard rate for as long as that agreement says.
5.8 Plan Allowances. Each plan includes allowances for every billing period: a number of sales recorded, where your plan sets one a total value of sales recorded, and a number of SMS messages. The allowances of each plan currently offered are listed in the Fee Schedule. Your plan's allowances, your usage so far and the date your billing period resets are shown on your Billing page. Unused allowance does not carry over to the next period. Every sale you record counts towards your allowance, including sales you later void; a sale recorded to correct a voided sale does not count a second time. The value allowance counts the value of sales that have not been voided.
5.9 Going Over Your Allowance. Going over a sales allowance never stops you recording sales. Once you pass either sales allowance, for the rest of that billing period:
- (a) card and mobile money payments collected through Densu's payment service carry Densu's overage fee instead of the standard fee, at the rates in the Fee Schedule. The difference between the two is borne by you and is not passed on to your customer, even where you have chosen for customers to pay payment fees; and
- (b) every other sale (cash, credit, and card or mobile money payments made into your own payment provider account) carries the overage charge per sale in the Fee Schedule, added to your next subscription invoice. A sale voided before that invoice is issued is not charged.
The rates that currently apply to your account are shown on your Billing page. The standard rates are in the Fee Schedule.
5.10 SMS Allowance. When your SMS allowance for the period is used up, receipt and notification SMS to your customers are paused until your next billing period begins or you move to a plan with a larger allowance. Verification codes your customers need to sign in or place an order are still sent and count towards your allowance. A message longer than 160 characters (70 characters where it contains certain special characters) counts as more than one SMS, in the same way mobile networks charge for them.
5.11 Usage Notices. Densu will notify you in the Platform, by email and by SMS when you reach 80% and 100% of an allowance in a billing period. These notices do not use your SMS allowance. Not receiving a notice does not waive charges under Section 5.9.
5.12 Free Trials. No overage fees or charges apply during a free trial. Trial allowances are used only to notify you of your usage.
6. Acceptable Use and Prohibited Conduct
6.1 Permitted Use. You may use the Platform only for lawful business operations in accordance with these Terms and all applicable laws.
6.2 Prohibited Conduct. You must not use the Platform to:
- Process payments for illegal goods, controlled substances, unlicensed gambling, adult content, firearms, or any activity prohibited by Ghanaian law.
- Engage in or facilitate fraud, money laundering, terrorist financing, or sanctions evasion.
- Impersonate another person or business or misrepresent your identity.
- Collect or process personal data of third parties without an appropriate legal basis under Ghana's Data Protection Act (Act 843, 2012).
- Attempt to gain unauthorized access to any system, account, or network.
- Reverse-engineer, decompile, or create derivative works of the Platform.
- Scrape, crawl, or extract data from the Platform by automated means without written consent.
- Transmit malware, viruses, or any code designed to damage or disrupt systems.
- Use the Platform in a way that causes or could cause material harm to Densu's reputation, infrastructure, or other users.
6.3 Enforcement. Densu may investigate suspected violations and, at its sole discretion, suspend or terminate access without prior notice where a serious breach is suspected.
7. Intellectual Property Rights
7.1 Platform Ownership. All intellectual property rights in the Platform, including software, source code, algorithms, user interface designs, trademarks, logos, and documentation, are owned by Densu or its licensors. Nothing in these Terms transfers any such rights to you.
7.2 Limited License. Subject to your compliance with these Terms and payment of applicable fees, Densu grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your lawful internal business operations.
7.3 Your Content. You retain full ownership of your Business Data and User Content. By uploading content to the Platform, you grant Densu a limited licence to host, store, transmit, and process that content solely as necessary to provide the Services.
7.4 Feedback. Any suggestions, feedback, or ideas you provide regarding the Platform may be used by Densu without restriction or compensation to you.
8. Data Ownership and Business Responsibility
You retain ownership of all Business Data, including customer records, transaction history, and configurations. You are solely responsible for:
- The accuracy and lawfulness of data you enter into the Platform.
- Obtaining all necessary consents and providing required notices to your customers before collecting their personal data through the Platform.
- Complying with Ghana's Data Protection Act (Act 843, 2012) and any other applicable data protection laws in your jurisdiction.
- Ensuring your use of customer data within the Platform is consistent with the purposes for which it was collected.
Densu processes Business Data as a data processor on your instructions. Our processing obligations are further described in our Privacy Policy.
9. Third-Party Services and Integrations
The Platform integrates with third-party services including payment processors, SMS providers, and cloud infrastructure partners. Your use of third-party integrations is subject to those providers' terms. Densu:
- Is not responsible for third-party service availability, accuracy, or compliance.
- Does not warrant that integrations will be uninterrupted or error-free.
- Will use reasonable efforts to notify you of material changes to third-party integrations.
10. Service Availability and Modifications
10.1 Availability. Densu targets 99.5% uptime but does not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, security incidents, third-party failures, or force majeure events.
10.2 Modifications. Densu may add, modify, or remove Platform features at any time. We will provide reasonable notice of material changes that adversely affect your use.
10.3 Scheduled Maintenance. Planned maintenance will be communicated in advance where practicable. Emergency maintenance may occur without prior notice.
11. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE REPUBLIC OF GHANA, DENSU EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Any warranty that the Platform will be uninterrupted, error-free, or free of viruses or harmful components.
- Any warranty regarding the accuracy, reliability, or completeness of content or data.
Nothing in these Terms excludes liability that cannot be excluded under Ghanaian law, including the Consumer Protection Act (Act 724, 2012) where applicable.
12. Limitation of Liability
12.1 Liability Cap. Densu's total aggregate liability to you arising out of or relating to these Terms or your use of the Platform shall not exceed the total fees paid by you to Densu in the 12 months immediately preceding the event giving rise to the claim, or GH₵5,000, whichever is greater.
12.2 Exclusion of Consequential Damages. In no event shall Densu be liable for:
- Loss of profits, revenue, business, goodwill, or anticipated savings.
- Loss or corruption of data or records.
- Indirect, special, incidental, consequential, or punitive damages.
- Third-party claims arising from your use of or inability to use the Platform.
12.3 Exceptions. The limitations in Sections 12.1 and 12.2 do not apply to:
- Densu's fraud, fraudulent misrepresentation, or willful misconduct.
- Death or personal injury caused by Densu's negligence.
- Densu's material breach of its data protection obligations under Ghana's Data Protection Act.
- Any other liability that cannot be limited under applicable Ghanaian law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Densu, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms or any applicable law.
- Your use of the Platform or processing of payments in violation of applicable rules.
- Your infringement of any third party's intellectual property, privacy, or other rights.
- Any claim by a third party (including your customers) arising from your business operations conducted through the Platform.
14. Termination
14.1 Termination by You. You may terminate your account at any time by providing 7 days' written notice to support@densu.shop. Termination does not entitle you to a refund of prepaid fees.
14.2 Termination by Densu. Densu may suspend or terminate your account immediately, without prior notice, if:
- You breach these Terms or the Platform Payment Terms.
- You engage in fraudulent, abusive, or illegal conduct.
- Your account poses a compliance, reputational, or security risk.
- You fail to pay outstanding invoices after 30 days.
- We are required to do so by law, court order, or regulatory authority.
14.3 Effect of Termination. Upon termination:
- Your access to the Platform and all paid features is revoked.
- Your Business Data remains available in read-only format for 12 months, after which it is deleted.
- You remain liable for any outstanding fees accrued before termination.
- Provisions of these Terms that by their nature survive termination (including Sections 7, 12, 13, 16, and 17) remain in force.
15. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
16. Governing Law and Dispute Resolution
16.1 Governing Law. These Terms are governed by the substantive laws of the Republic of Ghana, without regard to its conflict-of-law provisions. You irrevocably consent to the exclusive jurisdiction of the courts of Ghana.

- Good Faith Negotiation: Written notice of dispute followed by 14 days of good-faith resolution attempts.
- Senior Management Escalation: If unresolved after Step 1, escalation to senior management for a further 14 days.

16.3 Class Action Waiver. To the maximum extent permitted by law, you waive any right to participate in class action or collective proceedings against Densu.
17. General Provisions
17.1 Entire Agreement. These Terms, together with our Privacy Policy, Cookie Policy, and Platform Payment Terms, constitute the entire agreement between you and Densu regarding the Platform and supersede all prior agreements.
17.2 Amendments. Densu may amend these Terms at any time by publishing the updated version on the Platform with a revised effective date. Continued use after the effective date constitutes acceptance. Material changes will be notified via in-app notice or email at least 14 days in advance.
17.3 Severability. If any provision of these Terms is held unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.
17.4 Waiver. Failure by Densu to enforce any provision shall not constitute a waiver of that right.
17.5 Assignment. You may not assign your rights or obligations under these Terms without Densu's prior written consent. Densu may assign its rights in connection with a merger, acquisition, or sale of assets.
17.6 Force Majeure. Densu shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
